Terms of Service

1. Acceptance of Terms

By accessing or using any Tokea service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Services

Tokea provides digital growth services including website design and development (Presence), SEO (Position), content creation (Personality), and supporting Accelerator products. The specific scope, deliverables, and timelines for your engagement are defined in your service agreement or order form.

3. Client Responsibilities

You agree to provide accurate information, timely feedback, and any materials or access required for us to deliver your services. Delays caused by late client feedback or missing materials may affect delivery timelines and are not attributable to Tokea.

4. Payments

All fees are outlined in your service agreement. Monthly retainers are billed in advance. One-time project fees follow the payment schedule in your order form. Late payments may result in a suspension of services. All prices are in Kenyan Shillings (KES) unless otherwise stated.

5. Intellectual Property

Upon full payment, you own all final deliverables created specifically for your brand. Tokea retains the right to display completed work in its portfolio unless you request otherwise in writing. Any pre-existing tools, templates, or frameworks used in delivery remain the property of Tokea.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. Tokea will not share your business information, data, or strategies with third parties without your consent, except where required by law.

7. Limitation of Liability

Tokea's liability under any circumstance is limited to the fees paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption.

8. Termination

Either party may terminate a monthly retainer with 30 days' written notice. One-time projects may not be cancelled once work has commenced without forfeiting any deposits paid. Tokea may terminate services immediately for breach of these terms.

9. Governing Law

These terms are governed by the laws of the Republic of Kenya. Any disputes will be resolved through good-faith negotiation, and if unresolved, through the courts of Nairobi, Kenya.

10. Changes to These Terms

We may update these terms from time to time. We will notify active clients of material changes via email. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
